Position Summary:
The Corporate Executive Paralegal will provide support to our
General Counsel in the following areas: litigation support,
contract drafting and review, contract database and file
maintenance, corporate compliance and corporate governance matters,
research, administrative support, and special projects. - This
position may also provide transaction support related to the
company's mergers and acquisitions activity.
Job Responsibilities
- Track service of process; forward service of process per
established procedures; and manage litigation calendar ensuring
compliance with deadlines
- Oversee litigation hold process
- Assist General Counsel and outside counsel with fact gathering
for pleadings, discovery responses, and subpoenas with limited
supervision
- Perform basic legal research and prepare memos
- Basic commercial contract drafting and review, initially with
supervision
- Contract management, including implementation of electronic
contract management system; ensure contracts are signed and
filed
- Assist in the management of corporate record books; preparation
of initial drafts of Board Resolutions
- Assist in the management of corporate licensing and state
filings
- Monitor and maintain company intellectual property portfolio
and assist in filing patent, trademark, and copyright applications;
liaison with engineering and marketing as needed to obtain
information
- Prepare, process, and track Legal Department expense reports;
outside counsel invoices and general invoices; assist with review
of outside counsel invoices
- Work with General Counsel to review email, manage schedule,
schedule appointments, and track projects and "to do" list
- Other projects and duties as assigned.
Requirements
Education and Experience
- Paralegal Degree or Certification required; Bachelor's Degree
preferred
- 5+ years corporate legal experience
- Self-motivated with a strong desire for learning
- Highly organized with a strong sense of priority, urgency, and
commitment to deadlines
- Exceptional writing skills
- Ability to prioritize multiple projects
- Ability to work independently while functioning well in a team
environment and communicating appropriately
- Ability to understand general business operations, issues, and
dynamics beyond the scope of basic legal issues
- Ability to communicate effectively with members of other
departments in order to support their functions as well as to
assist them in supporting the legal staff
- Strong computer skills, including proficiency with Microsoft
Office products (Word, PowerPoint & Excel)
